1. Acceptance of Terms

Welcome to Cheftal. These Terms and Conditions ("Terms") form a legally binding agreement between you and Eleven Eleven Capital LLC ("Cheftal," "we," "us," or "our") governing your access to and use of the Cheftal website (cheftal.app) and mobile application (collectively, the "Service").

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have permission from a parent or legal guardian.

2. Account Registration

2.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate and current information
  • Keep your credentials secure
  • Be responsible for all activity under your account
  • Notify us of unauthorized access

2.2 Account Restrictions

  • One account per person
  • No sharing or transferring accounts
  • No impersonation or unauthorized account creation

2.3 Account Termination

You may delete your account at any time through the Service. Upon deletion:

  • Your profile is anonymized
  • Personal identifiers are removed
  • Published recipes and public content may remain visible but attributed to an anonymized user

We may suspend or terminate accounts for violations of these Terms.

3. User Content

3.1 Definition

"User Content" includes any content you upload, submit, or display on the Service, including recipes, comments, images, videos, text, profile information, and metadata.

3.2 Ownership and License

You retain ownership of your User Content.

By submitting User Content, you grant Cheftal a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, display, distribute, perform, and create derivative works of your User Content in connection with:

  • Operating, maintaining, and improving the Service
  • Promoting, marketing, and advertising the Service
  • Displaying content on Cheftal-owned channels, including websites, mobile apps, social media platforms, email campaigns, paid advertisements, and other marketing materials

This license includes the right to use your username, display name, profile image, and associated content for attribution purposes, unless you request anonymization where technically feasible.

This license survives account deletion for content that has already been distributed or incorporated into marketing materials.

3.3 Responsibility for User Content

You are solely responsible for your User Content. Cheftal does not review, verify, endorse, or guarantee the accuracy, safety, legality, nutritional correctness, or allergen suitability of User Content.

You represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to submit the User Content
  • The User Content does not infringe intellectual property, privacy, publicity, or other rights of any third party
  • The User Content complies with these Terms and all applicable laws

3.4 Prohibited Content

You may not upload User Content that is illegal, infringing, harmful, abusive, misleading, defamatory, sexually explicit, discriminatory, violent, malicious, spam-related, or otherwise objectionable, or that violates any law or regulation.

3.5 Moderation

We reserve the right, but are not obligated, to remove, restrict, or disable access to User Content or accounts at our discretion, including to comply with legal obligations or enforce these Terms.

4. Intellectual Property

4.1 Cheftal Property

All Service content and functionality, excluding User Content, is owned by Cheftal and protected by intellectual property laws. Our trademarks, logos, and branding may not be used without prior written permission.

4.2 Third-Party and External Content

The Service may display content from third parties. Ownership remains with the original rights holders. Cheftal does not claim ownership of third-party content and is not responsible for its accuracy, legality, or safety.

4.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by Cheftal without restriction or compensation.

5. Subscriptions and Payments

5.1 Paid Features

Certain features require a paid subscription. Features, limits, and pricing may change over time.

5.2 Billing and Cancellation

Subscriptions renew automatically unless cancelled. You may cancel through the applicable platform or account settings. Refunds are not provided for partial periods unless required by law.

6. Creator Program

Any Creator Program features, including eligibility, monetization, revenue sharing, and payouts, are to be determined and will be disclosed in a future update.

7. AI Features

The Service may include AI-powered features such as recipe generation and ingredient analysis.

AI-generated content may be inaccurate or incomplete. You are solely responsible for verifying ingredients, allergens, instructions, and suitability for your needs. AI content is provided for informational purposes only and does not constitute medical or nutritional advice.

8. Prohibited Uses

You agree not to misuse the Service, including by:

  • Violating laws or regulations
  • Abusing or harassing others
  • Uploading infringing or unlawful content
  • Circumventing security or access controls
  • Scraping, reverse engineering, or interfering with the Service
  • Sending spam or unauthorized communications

9. Reporting Violations and DMCA

9.1 Content Reporting

You may report content that violates these Terms through the Service.

9.2 DMCA Copyright Policy

Cheftal respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

If you believe content on the Service infringes your copyright, submit a written notice to:

Your notice must include:

  • Identification of the copyrighted work
  • Identification of the allegedly infringing material and its location
  • Your contact information
  • A statement of good faith belief that the use is unauthorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act
  • Your physical or electronic signature

We may remove or disable access to content in response to valid DMCA notices and may terminate repeat infringers.

10. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

Cheftal makes no warranties regarding accuracy, reliability, safety, or availability of recipes, ingredients, nutritional information, AI output, or User Content.

Cheftal is not responsible for allergic reactions, illness, property damage, or other harm resulting from use of content on the Service. You use the Service at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Cheftal shall not be liable for indirect, incidental, consequential, special, or punitive damages.

Our total liability shall not exceed the greater of amounts paid by you in the prior twelve (12) months or one hundred dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless Cheftal and its affiliates from claims arising out of your use of the Service, your User Content, or your violation of these Terms.

13. Dispute Resolution

Arbitration

Disputes shall be resolved by binding arbitration on an individual basis. No class actions are permitted.

Opt-Out

You may opt out of arbitration within 30 days of account creation by written notice.

Governing Law

These Terms are governed by the laws of the State of Delaware, except where otherwise required by law.

14. Changes to Terms

We may update these Terms at any time. Continued use after updates constitutes acceptance.

15. General Provisions

These Terms constitute the entire agreement between you and Cheftal. If any provision is unenforceable, the remainder remains effective. We may assign these Terms without restriction.

17. Apple-Specific Terms (iOS App)

If you downloaded the app from the Apple App Store:

  • These Terms are between you and Cheftal, not Apple
  • Apple has no obligation to provide support
  • Apple is not responsible for claims related to the app
  • Apple is a third-party beneficiary and may enforce these Terms
  • You must comply with applicable third-party terms
